The Institute of Company Secretaries commemorates 'Capital Markets Week'


The Bangalore chapter of ICSI today organized a one day seminar on the theme, Capital Markets-Growth Drivers as part of the Capital Markets Week from April 23rd to 28th, 2012 being observed by the ICSI across the country. This is an initiative towards promoting investor education and good governance in capital markets.

The program was inaugurated by Mr.S Raman, Chairman & Managing Director of Canara Bank, Mr.Bhaskar Bhat, Managing Director of Titan Industries Limited and Mr. Manjeet Singh, Executive Director, Bangalore Stock Exchange Limited.

The key speakers included Mr.Murali Ananthasivan, Partner, J.Sagar Associates, Advocates & Solicitors, Bangalore, Mr. Arjun Lall, Partner, Amarchand & Mangaldas & Suresh A. Shroff & Co., Advocates & Solicitors, Bangalore, Mr.Lakshman Gugulothu – CEO, BSE SME Exchange, Mr.Jagdish Ahuja, Former President of Bangalore Stock Exchange, Mr.K. Sukumaran – Dean School for Investor Education & Financial Literacy – National Institute of Securities Market and Mr.Suresh Menon – Regional Head, SEBI, Chennai.


ICSI has been actively engaged in promoting the interest of investors and the orderly development of the Capital Markets in India. Its members have been authorized by SEBI – the capital market regulator, stock exchanges to issue various certificates and to undertake internal audit of various capital market intermediaries. The ICSI has also undertaken research studies and brought out publications on various aspects of the capital markets and securities law.

Speaking on the occasion, CS S. N. Ananthasubramanian, Vice President, ICSI explained “The Capital Markets play a pivotal role in the development of economy. The Stronger the Capital Market, the better are the prospects of economic development. Hence, a developed, dynamic and vibrant capital market immensely contributes to economic growth and development”.

The day long programme had three technical sessions on:

o Recent Regulatory Changes in Capital Markets

o SME Exchange : Empowering India’s SME Sector

o Indian Capital Market – How to Rebuild Investor Confidence


The seminar also gave an insight on the role of Company Secretaries in the Capital Market. Company Secretaries over a period of time have developed themselves as professionals having core competence in compliances and corporate governance, moving from their traditional role of Secretary of the Company. They are now popularly known as governance professionals and are frequently called upon to guide the Corporate Boards on various strategic, governance and compliance issues and they render the following services in capital markets:


o Corporate Laws Advisory Services

o Representation service

o Public Issue, Listings and Securities Management

o Takeover Code and Insider Trading (Compliance of the Takeover Regulations) & {Compliance with SEBI (Prohibitory of Insider Trading) Regulations 1992}.

o Internal Audit and Certification Services


About ICSI

The Institute of Company Secretaries of India (ICSI) is constituted under an Act of Parliament i.e. the Company Secretaries Act, 1980. ICSI is the only recognized professional body in India to develop and regulate the profession of Company Secretaries in India. ICSI awards the certificate of bestowing the designation of Company Secretary(CS) to a candidate qualifying for the membership of the Institute. It was in 1960 that the Company Law Board started a course in Company Secretaryship leading to the award of Government Diploma in Company Secretaryship. As the number of students taking up the Company Secretaryship course grew, the Government promoted on 4th October, 1968, Institute of Company Secretaries of India under Section 25 of the Companies Act, 1956 for taking over from the Government the conduct of Company Secretaryship examination. The ICSI has since been converted into a statutory body w.e.f. 1.1.1981 under the Company Secretaries Act, 1980. ICSI has on its rolls over 29,500 members including over 4,500 members holding certificate of the practice. The number of current students is over 2,30,000.

The Institute has its headquarters at New Delhi,  Four Regional Councils at New Delhi, Chennai, Kolkata and Mumbai and 68 Chapters spread all over India.
